FIDE Extraordinary Presidential Board decisions

An Extraordinary Presidential Board meeting was held in Athens on Monday 10th April 2017.
Present for the meeting were Mr Kirsan Ilyumzhinov, FIDE President and Mr Georgios Makropoulos, Deputy President, together with fourteen other voting board members, representing a quorum. Also present were FIDE Honorary Vice-Presidents and Senior FIDE Executives.
- Legality of meeting
Based on legal opinion presented to the EPB, the Board unanimously confirmed the legality of the meeting.
- Powers delegated to the FIDE Deputy President by the FIDE Presidential Board
Legal opinion was again presented and the Board unanimously reconfirmed its decision of 6th December 2015 and is reproduced hereunder:
“Mr. Ilyumzhinov’s decision to withdraw from any legal, financial and business operations of FIDE is to enable him to concentrate on clearing the situation with the US Department of the Treasury.
Until further notice, under section A.9.5 of the FIDE Statutes, if the President: “duly authorises, then he can be represented by the Deputy President who shall exercise the powers of the President. The Deputy President can thus represent FIDE officially and can solely sign for FIDE.” Therefore Mr. Makropoulos will now be exercising these powers and representing FIDE officially.
Mr. Ilyumzhinov advised that he has initiated legal procedures in the US aiming to request additional information and reverse restrictive measures put by the US Department of the Treasury. During the next Presidential Board meeting, Mr. Ilyumzhinov will update the Board as to the progress of the legal procedures.
In the circumstances, the Board also approved the removal of Mr. Ilyumzhinov’s name from the trade register of Canton Vaud, and the removal of his name from all documents with UBS Bank”.
Also the Board decided that the Powers of the FIDE President, as described in Chapter 9 of the FIDE Statutes and is reproduced hereunder, are fully delegated to the FIDE Deputy President:
“Chapter 09 – The President and Deputy President
9.1. The President represents FIDE officially and can solely sign for FIDE. All contracts signed by the President shall be subject to prior approval or subsequent ratification by the Presidential Board. Any contract that commits FIDE to an obligation or exposes FIDE to a potential liability of more than €100,000 must be submitted for ratification by the Executive Board or General Assembly.
9.2. The President presides over the meetings of the General Assembly, the Executive Board and the Presidential Board.
9.3. The President presents an annual report to the General Assembly.
9.4. The President’s decisions may be appealed to the General Assembly, Executive Board or Presidential Board.
9.5. If the President is unable to act or if he duly authorises, then he can be represented by the Deputy President who shall exercise the powers of the President. The Deputy President can thus represent FIDE officially and can solely sign for FIDE.
9.6. In certain cases the FIDE President can also delegate specific tasks to other persons; this includes authorising in writing other FIDE officials to sign contracts on his behalf.”
- Statement of Mr Kirsan Ilyumzhinov regarding revocation of his powers
Mr Ilyumzhinov withdrew his statement of 6 April regarding the revocation of his powers.
- Resignation of Mr Kirsan Ilyumzhinov
Mr Ilyumzhinov explained that in the previous board meeting he had emotionally expressed his desire to resign but he now felt that he had more time to contribute to Chess. Mr Makropoulos and several board members then commented on the current situation. It was clear that nobody during the FIDE PB of March 26th 2017 had asked for his resignation nor did they make any calls for his removal from office. Mr Makropoulos stated that FIDE always wants to maintain excellent relations with the Russian Chess Federation, which may not have had complete information regarding the present situation.
- Misleading Statements to the media by Mr Kirsan Ilyumzhinov
Mr Ilyumzhinov apologised for making statements regarding FIDE Presidential Board members and FIDE Executives.
It was unanimously agreed by the Board that no statements would be made on behalf of FIDE, or purporting to represent FIDE, unless such statements are made with prior approval of the FIDE Secretariat.
It was also unanimously agreed that everyone would co-operate productively for the good of FIDE, National chess federations and the worldwide chess community.

Una reunión extraordinaria de la Junta Presidencial se celebró en Atenas el lunes 10 de abril de 2017.
Estuvieron presentes para la reunión el Sr. Kirsan Ilyumzhinov, Presidente de la FIDE y el Sr. Georgios Makropoulos, Vicepresidente, junto con otros 14 miembros del Consejo de Voto, que representan el quórum. También estuvieron presentes los Vicepresidentes Honorarios de la FIDE y los Ejecutivos de la FIDE.
- Legalidad de la reunión
Sobre la base de la opinión jurídica presentada al EPB, la Junta confirmó por unanimidad la legalidad de la reunión.
- Poderes delegados al Presidente Adjunto de la FIDE por la Junta Presidencial de la FIDE
Se volvió a presentar la opinión jurídica y la Junta, por unanimidad, confirmó su decisión de 6 de diciembre de 2015 y se reproduce a continuación:
“Señor. La decisión de Ilyumzhinov de retirarse de cualquier operación legal, financiera y comercial de la FIDE es permitirle concentrarse en despejar la situación con el Departamento del Tesoro de los Estados Unidos.
Hasta nuevo aviso, bajo la sección A.9.5 de los Estatutos de la FIDE, si el Presidente: “debidamente autoriza, puede ser representado por el Vicepresidente quien ejercerá los poderes del Presidente. El Vicepresidente puede representar oficialmente a la FIDE y únicamente puede firmar para la FIDE “. Por lo tanto, el Sr. Makropoulos ejercerá ahora estos poderes y representará oficialmente a la FIDE.
El Sr. Ilyumzhinov aconsejó que había iniciado procedimientos legales en los Estados Unidos con el fin de solicitar información adicional y medidas restrictivas inversas puestas por el Departamento del Tesoro de los Estados Unidos. Durante la próxima reunión de la Junta Presidencial, el Sr. Ilyumzhinov actualizará la Junta sobre el progreso de los procedimientos legales.
En estas circunstancias, la Junta también aprobó la retirada del nombre del Sr. Ilyumzhinov del Registro Mercantil de Cantón Vaud y la supresión de su nombre de todos los documentos con el Banco UBS “.
Asimismo, la Junta decidió que las Potencias del Presidente de la FIDE, descritas en el Capítulo 9 de los Estatutos de la FIDE y que se reproducen a continuación, están totalmente delegadas a la Vicepresidenta de la FIDE:
“Capítulo 09 – El Presidente y el Vicepresidente
9.1. El Presidente representa a la FIDE oficialmente y solo puede firmar para la FIDE. Todos los contratos firmados por el Presidente estarán sujetos a aprobación previa o posterior ratificación por la Junta Presidencial. Cualquier contrato que obligue a la FIDE a una obligación o exponga a la FIDE a una responsabilidad potencial superior a 100.000 euros deberá someterse a la ratificación de la Junta Ejecutiva o de la Asamblea General.
9.2. El Presidente preside las reuniones de la Asamblea General, la Junta Ejecutiva y la Junta Presidencial.
9.3. El Presidente presenta un informe anual a la Asamblea General.
9.4. Las decisiones del Presidente pueden ser apeladas ante la Asamblea General, la Junta Ejecutiva o la Junta Presidencial.
9.5. Si el Presidente no puede actuar o si autoriza debidamente, podrá ser representado por el Vicepresidente que ejercerá los poderes del Presidente. El Vicepresidente puede representar oficialmente a la FIDE y sólo puede firmar para la FIDE.
9.6. En algunos casos, el Presidente de la FIDE también puede delegar tareas específicas a otras personas; Esto incluye autorizar por escrito a otros funcionarios de la FIDE a firmar contratos en su nombre “.
- Declaración del Sr. Kirsan Ilyumzhinov sobre la revocación de sus poderes
El Sr. Ilyumzhinov retiró su declaración de 6 de abril sobre la revocación de sus poderes.
- Renuncia del Sr. Kirsan Ilyumzhinov
El Sr. Ilyumzhinov explicó que en la reunión anterior del consejo había emocionalmente expresado su deseo de renunciar, pero ahora sentía que tenía más tiempo para contribuir al ajedrez. El Sr. Makropoulos y varios miembros del consejo comentaron la situación actual. Estaba claro que nadie durante el FIDE PB del 26 de marzo de 2017 había pedido su renuncia ni hicieron ninguna llamada para su destitución. El Sr. Makropoulos afirmó que la FIDE siempre quiere mantener excelentes relaciones con la Federación Rusa de Ajedrez, que tal vez no tenga información completa sobre la situación actual.
- Declaraciones engañosas a los medios de comunicación por el Sr. Kirsan Ilyumzhinov
El Sr. Ilyumzhinov se disculpó por hacer declaraciones sobre los miembros de la Junta Presidencial de la FIDE y los Ejecutivos de la FIDE.
La Junta acordó por unanimidad que no se formularían declaraciones en nombre de la FIDE o que pretendieran representar a la FIDE, a menos que dichas declaraciones se hicieran con la aprobación previa de la Secretaría de la FIDE.
También se acordó unánimemente que todos cooperarían productivamente por el bien de la FIDE, de las federaciones nacionales de ajedrez y de la comunidad mundial de ajedrez.
